Terms of Service

1. Acceptance of Terms

By accessing or using the Rihan Consulting website (rihan.cloud) and any related services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.

2. Service Description

Rihan Consulting provides IT consulting services including cloud infrastructure, network architecture, cybersecurity, AI automation, and related technology services. Our platform includes:

• A public portfolio and marketing website
• A client portal for project management, invoicing, messaging, and document sharing
• An admin panel for service delivery management

3. User Accounts

To access the client portal, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials and not share them
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these terms.

4. Payment Terms

Payment for services is governed by the specific service agreement or invoice issued for each engagement.

• Payment methods: We accept payments via Stripe (credit/debit cards), PayPal, and Payoneer (manual bank transfer).
• Invoicing: Invoices are issued through our client portal and are due within the terms specified on each invoice (typically Net 15 or Net 30).
• Late payments: Overdue invoices may be subject to late fees as specified in your service agreement.
• Refunds: Refund eligibility is determined on a case-by-case basis. Work already delivered is generally non-refundable.

5. Intellectual Property

Unless otherwise stated in a written service agreement:

• Work product: Upon full payment, clients receive ownership of deliverables created specifically for their project.
• Pre-existing IP: We retain ownership of all pre-existing tools, frameworks, templates, and methodologies used in service delivery.
• License: Clients receive a non-exclusive license to use any pre-existing IP incorporated into their deliverables.
• Website content: All content on rihan.cloud (text, graphics, logos, code) is the property of Rihan Consulting and may not be reproduced without permission.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes, but is not limited to:

• Client business data, credentials, and system access
• Project specifications and technical documentation
• Pricing, invoices, and financial information
• Communications through the client portal

7. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services is limited to the fees paid by the client for the specific service that gave rise to the claim.
• We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or data.
• Our services are provided "as is" without warranties of any kind, except as expressly stated in a service agreement.

8. Indemnification

You agree to indemnify and hold harmless Rihan Consulting and Sayem Abdullah Rihan from any claims, losses, damages, and expenses (including legal fees) arising from your violation of these terms or misuse of our services.

9. Governing Law & Dispute Resolution

These terms are governed by the laws of Bangladesh. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration under internationally recognized arbitration rules, with the venue mutually agreed upon by both parties.

10. Termination

Either party may terminate the business relationship with reasonable written notice (typically 30 days). Upon termination:

• All outstanding invoices become immediately due
• Client data will be available for export for 30 days, after which it may be deleted
• Confidentiality obligations survive termination for 3 years

11. Modifications

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised terms.
